Victoria is a multispecialist financing lawyer who advises borrowers and financial institutions on a broad range of transactions, with a focus on energy finance and project development.

Victoria advises on a broad range of financing transactions, including energy and infrastructure projects, acquisition finance, leverage finance, restructurings, real estate finance, sustainable finance and corporate finance.

She advises clients in relation to domestic and cross border debt financings and uses her bilingual English and French and other language skills to facilitate negotiations.

Representative Experience

  • Advised Rockley Photonics in respect of the English law aspects relating to the implementation of its prepackaged chapter 11 plan, which allowed Rockley Photonics to go private and restructure its business through transactions that eliminated more than $120 million of secured debt and generated approximately $35 million in new funding from existing secured noteholders.
  • Advised energy commodity company in relation to a $40 million project financing of four oil wells located in Texas.
  • Advised a consortium of lenders in the project financing of the Marlin platform offshore Ivory Coast from the drafting and negotiation of the financing term sheet and facilities agreement to agreeing amendments and consents during the term of the financing.

  • Advised the UK Government on Energy Market Reform including drafting terms and conditions for the contract for difference, front-end contract and phasing contracts for difference for offshore wind farms.

    • Advised Mitsubishi in relation to an English law supply contract for wood pellets in connection with the chapter 11 cases of Enviva Inc. and its debtor affiliates.
    • Advised a floating offshore wind developer in relation to the financing and development of seabed leases awarded under the Innovation and Target Oil & Leading Round organized by the Crown Estate Scotland.
    • Representing Emmerson in its project financing of the Khemisset Potash deposit in Morocco.
    • Advised Molgas Energy UK Limited in relation to their regulatory position in relation to the UK Energy Bill Relief Scheme.
    • Advised General Fusion in relation to the construction and financing of a fusion demonstration plant at the UKAEA’s Culham Campus.
    • Advised an independent oil and gas client in the refinancing of its revolving credit facility and amendments to its intercreditor agreements and reserves based loan.
    • Advised large oil and gas company in the refinancing of their reserves based loan.
    • Acted as lead advisor in the project financing of a biomass conversion plant, including in relation to the financing term sheet, fuel supply agreements, PPA and direct agreements.
    • Advised Premier Oil in relation to their financing documentation and the creditor schemes of arrangement of Premier Oil plc and Premier Oil UK Limited, which were sanctioned by the Court of Session in Edinburgh.
    • Advised Green Investment Bank in relation to power purchase agreements in its acquisition of a £236m stake in Rampion Offshore Wind Farm.
    • Advised Ørsted in relation to its project financing and offtake agreements for wind farms.
    • Advised an energy trading company on commercial contracts in respect of a combined heat and power plant in England.

    • Advised Branded in relation to financing aspects, in relation to its acquisition of Heydey, leading to the formation of Essor.
    • Advised Harbor Group International in relation to the refinancing of The Relay Building, a 22-story mixed-use tower originally acquired in 2018 for £90.75 million.
    • Advised Diversified Holdings Limited in relation to real estate financing of a portfolio of real estate companies located in the United Kingdom.
    • Advised Elliott Management Corporation as a non-bank lender in its LMA style New York law financing in support of a management buy-out and in their subsequent $3m payment in kind equity notes investment in relation to such financing.
    • Advised Checkout Technology Limited in respect of corporate treasury for the Checkout group.
    • Advised Branded (now Essor) in relation to several amendments and amendments and restatements to the English law facilities agreement, including in the context of certain corporate restructurings.
    • Advised JUUL in relation to the English law aspects in relation to their New York law governed financing agreements.
    • Advising large multinational aircraft client in relation to supply chain concerns, including advising in relation to a short term supply chain finance in relation to one of its suppliers.
    • Advised sponsors in the acquisition financing of a luxury hotel resort in Portugal, alongside local Portuguese counsel.
    • Advised a multinational bank in the acquisition of a shopping centre, being developed outside Madrid, alongside local Spanish counsel.
    • Advised CEMEX in respect of refinancings and amendments of its syndicated loan facilities, including coordinating processes across multiple international jurisdictions.
