Brooke Daniels, local section leader of the Global Sourcing & Technology Transactions practice in Washington, DC, and leader of Pillsbury’s AI Task Force, has been advising Fortune 500 clients on large-scale, strategic outsourcing transactions, software licenses, and other complex technology transactions involving a broad range of legal and business issues related to Business Process Outsourcing (BPO) and IT outsourcing (ITO) transactions for more than 20 years.

Brooke prioritizes understanding the objectives and commercial requirements of her diverse set of global clients, who span the technology, financial services, retail and health care industries, working collaboratively with them to craft solutions that meet those needs while minimizing unnecessary risk. Her range of ITO experience includes outsourcing of nearly every IT function, such as infrastructure, applications development and maintenance, network functions, end-user computing, and service desk. She also guides clients through disputes related to outsourcing matters, providing dispute resolution strategies and developing their positions in the event of potential litigation. Clients benefit from her ability to support them throughout the entire life cycle of their matters, drawing on her extensive experience and broad perspective.

Brooke regularly works on novel and dynamic deals for her clients to help them achieve efficiencies and harness transformative technology, including advising on the integration of AI technologies into existing and new technology agreements to ensure compliance with legal standards and alignment with business objectives. She also has deep experience with AI procurement, routinely negotiating the procurement of AI software licenses—including terms for data usage, intellectual property rights and risk allocation. Brooke assists clients with the responsible usage of AI by advising on the development of internal AI policies and governance frameworks, and she is certified as an AI Governance Professional by the International Association of Privacy Professionals. She has additional experience working with clients in highly regulated industries—such as financial services and health care—to implement a variety of use cases for AI.

Brooke has been a member of the Global Sourcing & Technology Transactions practice since 2001 and has served as co-chair of Pillsbury’s Women Attorneys Network.
