Ellen Grady advises public, private and nonprofit entities on complex corporate transactions, principally mergers and acquisitions, joint ventures, venture capital and private equity transactions, securities offerings, and corporate governance.
Ms. Grady works with clients across a wide range of industry sectors, with significant experience in the defense and government services industry, health care and health care IT, and software and technology. She has advised companies on complex corporate restructurings, including real estate transactions, and has extensive experience advising public companies, private companies and non-profits on a wide range of corporate governance and compliance issues. Ms. Grady also has experience structuring real estate funds and joint ventures, including compliance with federal securities law issues.

- Represented Softrams, a leading technology firm specializing in human-centered digital services and system modernization for federal agencies, in connection with its recent acquisition by premier middle-market technology and advisory services provider, Tria Federal. Tria Federal is a portfolio company of Sagewind Capital, a government technology-focused U.S. private equity firm.
- Represented Harmonia, a provider of innovative technology solutions to the U.S. federal government, in its strategic investment from Madison Dearborn Partners.

- Represented SemanticBits, a provider of digital modernization strategies to U.S. federal health agencies, in its sale to ICF.
- Represented Arcus Medica, a medical and pharmaceutical communications and media company, in connection with its acquisition by the W2O Group.
- Represented Berkley Capital, a private equity fund, in connection with its acquisition of Chilewich, a textile products bank.
- Represented CollabraLink Technologies, a digital transformation services firm, in its sale to Washington Harbour Partners, a Washington DC investment firm focused on technology, government services and business services.
- Represented Berkley Capital in connection with its acquisition of the assets of Abercrombie Textiles, a fabric manufacturing company.
- Represented 1901 Group, a provider of managed IT services and cloud solutions to the federal government, in its sale to Leidos.
- Represented Bluestone Investment Partners in connection with the acquisition of Intrepid Solutions and Services, Inc., a government contracting firm providing enterprise IT, data analysis and operational training services to the U.S. intelligence community.
