  • Advised Spin Master Corp., a leading children’s entertainment company, in reaching an agreement to acquire Melissa & Doug for $950 million in cash, which was recognized as Canada M&A Deal of the Year, awarded at the 2025 M&A Atlas Awards.
  • Represent Teck Resources Ltd. in precedential transboundary environmental and other matters, including securing a landmark decision in the Ninth Circuit Court of Appeals limiting liability pertaining to alleged industrial air emissions, dismissal of a Helms-Burton case filed in Florida confirmed on appeal by the Eleventh Circuit Court of Appeals, and dismissal on summary judgment of a half-billion dollars in alleged natural resource damages under the Comprehensive Environmental Response, Compensation, and Liability Act (CERCLA).
  • Represented the Government of New Brunswick in countervailing duty case involving Softwood Lumber Products from Canada, including in (i) an expedited review of the CVD order before the CIT (ii) Binational Panel Reviews under the NAFTA and the USMCA, and (iii) the first, second and third administrative reviews of the CVD order.     • Advising Canadian mining company based in Vancouver on all aspects of managing its portfolio of U.S. transboundary environmental liabilities, including administrative and judicial action, as well as stakeholder and political engagement.
    • Represented Canadian mining company in defense of a suit under the citizen’s suit provisions of the U.S. Superfund statute. Court dismissed individual citizen suit claims and imposition of $23 million in statutory fines and penalties.
    • Represented American subsidiary of Canadian company in developing and successfully negotiating multiple landmark innovative settlement agreements with the U.S. Environmental Protection Agency and the U.S. Department of Justice concerning legacy environmental matters.
    • Advising Canadian subsidiary of Swiss multinational company regarding complex, multijurisdictional, cross-boundary water quality matters and proceedings related to metallurgical coal mines in the Elk Valley, British Columbia, alleged to be impacting waters in Montana and Idaho.
    • Represent Teck American Inc. regarding the Upper Columbia River Site RI/FS, a complex administrative process under the federal National Contingency Plan regulations. This comprehensive, multimedia environmental study and administrative process is one of the most comprehensive RI/FSs ever conducted.
    • Advise Teck Resources Limited in connection with its Nature Positive commitments across its portfolio of mining and smelting operations in Canada, the United States and Chile.
    • Advised Brookfield Renewable Energy on issues pertaining to hydropower operations and potential impacts under the Endangered Species Act.
  • Litigation and Contract Disputes
    • Represent Bombardier Inc. for more than 20 years in federal and state court litigations across the United States (New York, California, Texas, Florida, Delaware, North Dakota, Connecticut, District of Columbia) involving a wide range of issues.
    • Represented Bombardier in disputes including:
      • litigation with a key supplier for a new aircraft program;
      • dispute with a business aircraft purchaser involving claims for breach of contract, unfair trade practices and fraud arising out of delivery delays;
      • dispute with a commercial aircraft purchaser involving fraud claims arising out of a third party’s reconfiguration of the aircraft for executive jet usage;
      • dispute against a third party seeking to collect amounts allegedly owed by Bombardier to the third-party’s debtor;
      • dispute with the purchaser of an as-is, where-is aircraft arising out of alleged manufacturing defects;
      • dispute with a business aircraft purchaser arising out of alleged manufacturing defects;
      • breach of contract and fraud dispute for breach of warranty; and
      • dispute with a business aircraft purchaser over an alleged preliminary agreement to purchase a second aircraft.
    • Represented WestJet Airlines Ltd. in a multimillion-dollar dispute with its supplier of in-flight television systems.
  • Other disputes
    • Obtained dismissal of a Helms-Burton case against Teck Resources Limited filed in Florida and confirmed on appeal by the Eleventh Circuit Court of Appeals.
  • Insurance Recovery
    • Representing and advising Vale Canada Limited in multijurisdictional litigation (including in New York and Ontario) against historic liability insurers for coverage of “long-tail” environmental exposures principally located in Canada, and in negotiations and mediation involving scores of environmental sites in Canada, the United States, the United Kingdom, Japan and Indonesia.
    • Represented Barrick Gold Corporation in negotiations with liability insurers to resolve global environmental coverage claims.
    • Represented one of the world’s largest aluminum manufacturers in settlement negotiations involving international long-tail insurance claim that involves the laws of the United States, several Canadian Provinces and other countries. The claim involved more than 100 insurance policies from numerous different insurers and was resolved through settlement negotiations outside of litigation.
    • Advised Canadian subsidiary of a large civil engineering firm on insurance coverage for large losses involving cost overruns and litigation proceeding simultaneously in several countries.
    • Represented Teck Resources Limited in multijurisdictional litigation (including in Washington State and British Columbia) seeking coverage under historical liabilities policies for a large U.S. environmental loss, and in settlement negotiations with multiple insurers for various environmental claims in Canada and the United States.
    • Advised large Canadian gold mining company on potential environmental claims in the United States and Canada.
    • Advised large Canadian petrochemical company on potential environmental claims against international insurers.
    • Advised Canadian mining company concerning potential coverage for property and business interruption losses arising from the collapse of a tailings dam.
    • Represent global metals and mining company based in Canada in a declaratory judgment action concerning general liability coverage of environmental claims.

    • Represented Viking Air Limited in a dispute involving claims for declaratory relief, breach of contract, misappropriation of trade secrets, trademark infringement and unfair competition. Successfully obtained a preliminary injunction on behalf of Viking Air.
    • Represent multinational bank in a trademark infringement lawsuit in Canada.

    • Represented CVC DIF in connection with the acquisition of 18 water and wastewater utilities in Arizona from JW Water and Robson Communities.
    • Represented Bear Electric in connection with its acquisition by Midwestern Electric, a portfolio company of CAI Capital Partners.
    • Represented Wilbur-Ellis in connection with its sale of AgCode to Arcadea Group.
    • Advised Meeker Aviation in its acquisition by Signia Aerospace, a portfolio company of private equity firm Arcline Investment Management.

    • Represented Canaccord as financial advisor to Tango Therapeutic in connection with its merger with special purpose acquisition company BCTG Acquisition Corp. and as financial advisor to Leaf Group in connection with its $323 million sale to Graham Holdings.
    • Advised Ivanhoe Mines Ltd., in its private placing financing (C$108 million).
    • Advised Environmental Commodity Partners on investment in carbon capture storage project. Represented ECP in financing and securing the offtake of a carbon capture project in Canada that would convert carbon dioxide into usable products.

    • Assisting leading automobile parts manufacturer based in Canada with conducting Freedom to Operate studies in connection with numerous new product releases.
    • Representing Canadian powder metal manufacturer in ongoing patent prosecution and counseling in the United States and globally.
  • Trade
    • Represented Canadian private equity firm in the acquisition of a cleared U.S. IT government contractor, which resulted in obtaining CFIUS approval on an earlier than anticipated timeline.
    • Guided U.S. aviation training services provider in acquisition by Canadian-owned company. Representation including review and approvals by CFIUS, DCSA and DDTC.
    • Advise Teck American Metals Sales regarding U.S. trade matters.
    • Advised U.S. manufacturer of food grade cans on classification of aluminum and plastic can tops. This involved an assessment of applicable section 301 and section 232 tariffs, including relevant country quotas on imports of products from China, Canada, UK, South Korea, Netherlands and Germany.
    • Conducted extensive internal investigations of major international travel service providers with respect to compliance with Cuba sanctions regulations and extraterritorial conflicts with blocking measures adopted in the EU and various member states, Canada, Mexico and Argentina, and represented these companies in OFAC enforcement proceedings.

    • Advised life sciences company on imports of biological samples for further research and development from Canada. Advised on applicable rules under the Convention on International Trade in Endangered Species of Wild Fauna and Flora (CITES) and U.S. Fish and Wildlife permitting process.
    • Defended interests of the Government of Canada in a significant countervailing duty case on corrosion-resistant steel products from Canada.
    • Defending interests of the Government of Cananda in the significant antidumping duty case targeting tin mill steel products from Canada. We also represent them in a safeguard case targeting imports of fine denier polyester fiber.
  • Energy
    • Advised several Canadian corporations and organizations who seek to expand their nuclear presence in North America. A Canadian nuclear operator—regarding the applicability of nuclear export control laws and regulations to that operator’s equipment supply contracts with nuclear equipment vendors.
    • Representing several nuclear engineering and construction companies in formation and execution of nuclear export compliance programs across several jurisdictions, including the United States, Canada and the European Union, and securing export licenses and authorizations from multiple government agencies.
    • Advised Moltex Energy Limited (UK) and Moltex Energy Canada on all aspects of developing and deploying new molten salt nuclear reactor designs that will be safer, cheaper, and more reliable, and in one version will run on nuclear waste.
    • Represented Canadian minerals company in the proposed development of a uranium mine/mill complex in the Commonwealth of Virginia.
    • Represent Rio Tinto Alcan in litigation in Quebec securing insurance recoveries for environmental property damage at aluminum smelters, refineries and other mining-related properties throughout Canada.  
    • Acted as counsel to one of the largest Canadian multinational banks as lead arranger and administrative agent on approximately $400 million of nuclear fuel lease financings for Entergy’s nuclear power facilities.
    • Advised Synthos Green Energy on the joint venture with Tennessee Valley Authority, Ontario Power Generation and GE-Hitachi for the deployment of the BWRX-300 in Poland, Canada and the United States.
    • Advised major renewable energy company in its $2 billion plus bid for a portfolio of wind power electricity generating assets in United States and Canada.
    • Advised Canadian renewable energy company on its interest in Wind Energy Transmission Texas, LLC, a joint venture for the development of Competitive Renewable Energy Zones (CREZ) transmission infrastructure in West Texas.
    • Pacific Gas & Electric and Pacific Gas Transmission, as public utility and pipeline operator, on the design-build construction of a $1.3 billion expansion of an 850-mile natural gas pipeline from Canada, through Idaho, Washington and Oregon, to central California.
    • Represented SoftBank in connection with the 9.9 percent investment in Nemaska Lithium Inc. Pillsbury negotiated the terms of a strategic lithium supply agreement pursuant to which SoftBank had a right of first offer on up to 20 percent of the supply of lithium from Nemaska’s Whabouchi mine.
    • Representation of Canadian infrastructure fund in bidding for $1 billion portfolio of North American solar energy projects (including operational and development projects).
    • Representation of Canadian bank in connection with offset trading issues relative to Quebec/California Cap-and-Trade systems.

    • Advised Private Identity, a specialist AI software company, in connection with compliance with privacy laws in Canada and Australia.
