Allan Van Vliet advises clients on a wide variety of commercial transactions, with a focus on serving clients in the real estate, construction, and energy industries.
Allan represents clients in all phases of the development, purchase, disposition, financing, and management of office, industrial, retail, multifamily, hospitality, and agricultural projects and properties. His clients include lenders, owners, lessors, investors, managers, and users of all classes of real property. Allan’s practice includes advising clients with distressed or non-performing real estate assets on loan workouts, deed-in-lieu and assignment-in-lieu agreements, and foreclosures. Allan is also well-versed in leasing matters, and has guided many commercial clients (both landlords and tenants) through complex lease negotiations and tenant improvement buildouts.

As a member of Pillsbury’s Projects team, Allan represents project sponsors in the preparation of financing, design, and construction documents for developments and projects of all scales and types, including “megaprojects” and “gigaprojects” such as energy facilities, factories, and multiphase developments. He has helped businesses, nonprofits, and public entities build multifamily housing projects, hospitals, office buildings and spaces, and retail spaces, while advising on how to mitigate and manage risks and ensure timely project completion.
Allan also represents both tribal and non-tribal clients in matters involving federal Native American law generally, and advises both Tribal and non-Tribal clients on compliance questions and transactional matters involving state and federal gaming and gambling laws.

- Represented private equity fund in multi-tiered financing of Class A office tower in Oakland, California.
- Negotiated and facilitated disposition of distressed 1.1 million square foot office building.
- Advised Clearwater Paper Corporation on real property and land use aspects of $1.06 Billion sale of tissue paper production business and facilities.

- Negotiated construction contract and related documents on behalf of manufacturer of solar panel components, in connection with the design and construction of a new U.S. assembly facility.
- Represented Major League Baseball club in connection with major credit facility and corporate transactional matters.
- Advised major renewable energy producer on the acquisition of nation-wide portfolio of solar and wind generation facilities.
- Advised manufacturer operating in energy and transportation sectors on the construction of new high-technology factory, and in the negotiation and preparation of commercial offtake agreements for manufactured products.
